1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," "Candidate," or "you") and Digix Dealer ("Digix Dealer," "Company," "we," "us," or "our"), governing your access to and use of www.digixdealer.com (the "Site") and any staffing, workforce, transportation-staffing, or experiential marketing services we provide (collectively, the "Services"). By accessing the Site, submitting an application, or requesting our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of the Site and Services.
2. Description of Services
Digix Dealer is a staffing and workforce solutions agency based in Houston, Texas, providing services nationwide across the United States, including but not limited to: (a) recruitment, screening, onboarding, and deployment of personnel for client businesses; (b) staffing of Drivers and Rider Assistants to support transportation, school, and mobility programs operated by our clients; (c) experiential and field marketing personnel, including brand ambassadors, promoters, and event staff; and (d) referral to affiliated business units, such as Ringlance, for call center and back-office support.
2.1 Transportation Disclaimer
Digix Dealer is not a transportation carrier, motor carrier, school district, or transportation provider. We do not own, operate, dispatch, or maintain vehicles, nor do we hold or require our clients' operating authority or permits. We provide qualified, screened personnel to transportation companies and organizations that remain solely responsible for compliance with all applicable federal, state, and local transportation regulations, including but not limited to FMCSA, DOT, and state pupil-transportation requirements.
3. Eligibility
You must be at least 18 years old to use the Site, submit an employment application, or enter into an agreement with Digix Dealer. By using the Site, you represent that you meet this requirement and that all information you provide is accurate and current.
4. Client Responsibilities
Businesses engaging Digix Dealer for staffing, transportation-staffing, or marketing personnel ("Clients") agree to: provide accurate job descriptions and safe working conditions; comply with all applicable federal, state, and local labor, safety, and transportation laws; supervise personnel deployed to their operations in accordance with their industry's regulatory requirements; and pay all agreed fees in accordance with the applicable service agreement or statement of work. Specific pricing, invoicing, and payment terms will be set forth in a separate service agreement between Digix Dealer and the Client and are not governed by these Terms.
5. Candidates and Applicants
Individuals who apply for work opportunities through Digix Dealer ("Candidates") acknowledge that: submitting an application does not guarantee an interview, job offer, or placement; Digix Dealer may, with consent, conduct identity verification, background checks, and reference checks in accordance with the Fair Credit Reporting Act (FCRA) and applicable state law; and the nature of the engagement (employee, temporary worker, or independent contractor) will be determined on a case-by-case basis and disclosed prior to placement. Nothing in these Terms creates an employment relationship between Digix Dealer and any Client's customers, students, or the general public served by deployed personnel.
6. No Guarantee of Results
While Digix Dealer takes commercially reasonable steps to recruit, screen, and train qualified personnel, we do not guarantee specific business outcomes, sales results, campaign performance, or permanent employment. Staffing, transportation-support, and marketing outcomes depend on multiple factors outside our control.
7. Communications Consent
By providing your phone number or email address (including through the Site's consultation or application forms), you consent to receive calls, SMS/text messages, WhatsApp messages, and emails from Digix Dealer related to recruitment, staffing opportunities, and service updates. Message and data rates may apply. You may opt out at any time by replying "STOP" to text messages or contacting us at [email protected]. These communications are subject to the Telephone Consumer Protection Act (TCPA) and other applicable telemarketing laws.
8. Carrier Liability Disclaimer
Carriers, including wireless and telecommunications carriers, are not liable for delayed or undelivered messages. Digix Dealer LLC is not responsible for any delays or failures in the delivery of SMS/text messages, calls, WhatsApp messages, or other electronic communications sent to or from you, as such delivery is dependent on factors outside of our control, including but not limited to network coverage, carrier systems, and device settings. You acknowledge and agree that message delivery is not guaranteed and that Digix Dealer LLC and its carriers shall not be held liable for any damages arising from delayed or undelivered messages.
9. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Digix Dealer or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent. Client and partner trademarks displayed on the Site are used to identify business relationships only and remain the property of their respective owners.
10. Third-Party Links and Affiliated Brands
The Site may contain links to third-party or affiliated websites, such as Ringlance. Digix Dealer does not control and is not responsible for the content, policies, or practices of any third-party site. Access to such sites is at your own risk and subject to their own terms.
11. Confidentiality and Non-Solicitation
Clients agree not to directly solicit, hire, or engage personnel introduced by Digix Dealer outside of the applicable service agreement without prior written consent, except as otherwise provided in a signed agreement between the parties.
12. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DIGIX DEALER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIX DEALER, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY THE CLIENT TO DIGIX DEALER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Digix Dealer and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Site, or violation of applicable law.
15. Term and Termination
Digix Dealer may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to our business or other users.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall first be addressed through good-faith negotiation and, if unresolved, shall be subject to the exclusive jurisdiction of the state or federal courts located in Harris County, Texas, unless a separate service agreement specifies binding arbitration.
17. Changes to These Terms
We may update these Terms periodically. Changes take effect upon posting to the Site, and the "Last Updated" date will reflect the most recent revision. Continued use of the Site after changes constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
